Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and HANANAHSAN LLC, a limited liability company ("Voniq," "we," "us," or "our"), governing your access to and use of the Voniq platform available at voniq.ai and all related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Voniq provides AI-powered phone answering services for home service contractors, including but not limited to:

  • AI voice agents that answer inbound calls on your behalf
  • Call recording, transcription, and AI-generated summaries
  • Appointment scheduling and lead qualification
  • Missed-call text-back SMS notifications
  • Emergency call detection and escalation
  • Analytics dashboard with call metrics and ROI tracking
  • Phone number provisioning via third-party telecommunications providers

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information including your business name, trade type, phone number, and service area. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 18 years old and have the legal authority to bind your business to these Terms. Each account is limited to one business entity.

4. Subscription Plans and Billing

The Service is offered through subscription plans with varying levels of included call minutes:

  • Starter: 300 minutes/month
  • Professional: 750 minutes/month
  • Enterprise: 1,500 minutes/month

All plans include a 7-day free trial. After the trial period, your payment method will be charged automatically. Subscriptions renew automatically at the end of each billing cycle (monthly or annual) unless cancelled.

Overage minutes beyond your plan's included allocation will be billed at the per-minute rate specified in your plan. All fees are non-refundable except as required by law.

Payment processing is handled by Stripe, Inc. By subscribing, you also agree to Stripe's Terms of Service.

5. Phone Numbers and Telecommunications

As part of the Service, we provision a dedicated phone number for your business through our telecommunications partners (Twilio and Retell AI). This number is used for both inbound voice calls and outbound SMS notifications.

You understand and agree that:

  • The provisioned phone number is managed by Voniq and its partners during your subscription
  • Upon cancellation, the phone number will be released and may be reassigned
  • You are responsible for forwarding your business phone to the provisioned Voniq number
  • Call quality depends on telecommunications infrastructure beyond our control

6. AI Voice Agent and Call Recording

The Service uses artificial intelligence to answer phone calls on your behalf. You acknowledge and agree that:

  • The AI agent represents your business and speaks on your behalf to callers
  • All calls handled by the AI agent are recorded and transcribed
  • AI-generated analysis (call outcome, sentiment, urgency, caller information) is provided on a best-effort basis and may not be 100% accurate
  • The AI agent will not provide pricing, diagnose problems, or make guarantees to callers
  • Emergency calls are escalated to your designated escalation phone number

Call Recording Disclosure: It is your responsibility to ensure compliance with all applicable federal and state call recording laws. Many states require one-party or all-party consent for call recording. The AI agent's greeting may serve as notification to callers, but you are solely responsible for ensuring legal compliance in your jurisdiction.

7. SMS and Text Messaging

The Service may send SMS messages on your behalf, including:

  • Missed-call text-back messages to callers who could not be connected
  • Emergency alerts to your escalation phone number

By using the Service, you consent to sending these automated text messages from your provisioned phone number. You are responsible for ensuring your use of SMS features complies with the Telephone Consumer Protection Act (TCPA) and all applicable regulations. Standard messaging rates may apply to recipients.

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Transmit unlawful, harassing, or fraudulent communications
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service for any purpose other than legitimate business communications
  • Resell, sublicense, or redistribute the Service without written consent

9. Data Ownership

You retain ownership of all business information you provide to the Service. Voniq retains ownership of the Service, its technology, and any aggregated or anonymized data derived from usage.

Call recordings, transcripts, and caller information collected through the Service are stored on your behalf and accessible through your dashboard. Upon account termination, you may request export of your data within 30 days, after which it may be permanently deleted.

10. Third-Party Services

The Service integrates with third-party providers to deliver its functionality. By using the Service, you acknowledge that your data may be processed by:

  • Retell AI — AI voice agent processing and call handling
  • Twilio — Telecommunications and SMS delivery
  • Stripe — Payment processing
  • Supabase — Database and file storage
  • Vercel — Application hosting
  • OpenAI — Language model powering the AI agent (via Retell)

Each third-party service is governed by its own terms and privacy policies.

11. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any damages resulting from service interruptions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANANAHSAN LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Voniq is not responsible for the actions, decisions, or outcomes resulting from calls handled by the AI agent, including but not limited to missed appointments, inaccurate information provided to callers, or failed emergency escalations.

13. Indemnification

You agree to indemnify, defend, and hold harmless HANANAHSAN LLC from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

14. Termination

You may cancel your subscription at any time through the billing portal or by contacting support. Upon cancellation:

  • Your AI agent will be deactivated
  • Your provisioned phone number will be released
  • Access to call recordings and dashboard will remain for 30 days
  • No refunds will be issued for the current billing period

We reserve the right to suspend or terminate your account for violation of these Terms, non-payment, or any reason at our sole discretion.

15. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
